What Calvoara is

Calvoara facilitates introductions between independent retailers with available retail space and brands looking to place products in physical stores. During the founding/beta phase, Calvoara manually introduces matched parties; it does not itself buy, sell, or take ownership of any product.

Consignment basis

All product placements arranged through Calvoara are on a consignment basis. Retailers do not purchase brand stock. Ownership of the stock remains with the brand until it is sold to an end customer. If stock does not sell, it is returned to the brand.

No lease created

An agreement to host a brand's products does not create a lease, sublease, or any other real-property interest in the retailer's premises. It is a limited-term arrangement to display and sell specific goods on consignment.

Fees

During the founding/beta phase, joining and using Calvoara is free for both retailers and brands. Standard placement fees, where applicable, will be clearly communicated before they take effect and will never apply retroactively to existing agreements.

Retailer discretion

Retailers choose which brands and products they agree to host. Calvoara does not place any product in a retailer's space without that retailer's agreement.

Disputes between retailers and brands

Calvoara facilitates the introduction but is not a party to the resulting agreement between retailer and brand. Any dispute regarding sales, returns, damaged stock, or payment is between the retailer and the brand directly, though Calvoara may assist informally during the beta phase.

Changes to these terms

We may update these terms as the platform develops. Material changes will be communicated to active members before they take effect.
